The Chair of the Board of Directors, Cassie B. Barlow, PhD, invites Girl Scout members to a Special Meeting of the Council for the purpose of amending Girl Scouts of Western Ohio's bylaws.
After months of review, a task force created by the board has recommended a number of amendments to our council bylaws, to update terminology, voting processes, and the term and term limits for the board.
The board has approved two resolutions in support of the amendments to our council bylaws. These resolutions now move to all eligible GSWO members — all girls age 14 and older and adult members who are active volunteers.

The Bylaws Review Task Group (“the task group") of the Board of Directors (“the Board”) convened over the course of 2024 to review and recommend amendments to Girl Scouts of Western Ohio’s (GSWO) Bylaws. Members of the task group included: Rhonda Reagh, Chair; Maria Arcocha White, Cassie Barlow, Theresa Hirschauer, Victoria Nilles, and Aimée Sproles. In addition, the task group sought input from directors and officers, board development committee, management, insurance broker and legal counsel. This work included more than 15 task group and working group meetings in addition to consultations, document reviews and preparation through seven iterations of the bylaws.
The task group was guided by several principles in our work. The principles that had the most impact were: inclusion, simplification and clarification. Additionally, in places where the GSUSA Blue Book of Basic Documents (“the Blue Book”) or the Ohio Nonprofit Corporation Act (“the Act”) provides the governing requirements, the revised Bylaws provide deference to these governing documents.
As a result, the task group presents its recommendations and redlined changes to the Bylaws for the Board’s consideration. The following summarizes some of the most impactful changes that are incorporated, the Board will be voting to adopt the full redlined Bylaws shown above, and all directors should review the full redlined Bylaws for the comprehensive amendments.

Transition Resolution
Establishes the timeline for implementing new terms and term limits with respect to those currently holding the following positions:
